Terms and Conditions

Welcome to the PNW Financial Properties website (the “Website”). These Terms & Conditions govern access to and use of this Website, including any services, resources, or payment tools provided herein. By accessing this Website, submitting a payment, or otherwise using any services offered, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions. If you do not agree with these Terms, you should discontinue use of the Website immediately.

Acceptance of Terms

These Terms apply to all visitors, tenants, and individuals who access or use the Website, including those submitting payments on behalf of a tenant. Continued use of the Website constitutes ongoing acceptance of these Terms and any updates posted here in the future.

Relationship to Lease Agreements

These Terms govern the use of the Website and its services and do not replace, modify, or supersede any lease agreement or rental contract between a tenant and PNW Financial Properties. Tenants remain fully responsible for complying with their lease obligations, including payment amounts, deadlines, and any fees or penalties. In the event of any conflict between these Terms and a lease agreement, the lease agreement controls.

Accepted Forms of Rent Payment

Tenants may remit rent via personal check, money order, cashier’s check, or electronic ACH payment through the Website. Electronic payments may be submitted using the Quick Link titled Make a Payment, which directs users to a secure third-party payment platform hosted by Stripe. Tenants and authorized payors are solely responsible for ensuring that rent is submitted and received on time in accordance with their lease agreement.

Online Payment Service

The Website offers the option to submit electronic rent payments through the Make a Payment portal. This portal allows ACH electronic payments from authorized U.S. bank accounts.

The Payor is solely responsible for entering the correct payment amount, ensuring sufficient funds, and completing all required verification steps. Submission of a payment request does not constitute receipt of funds. A payment is considered received only after it has successfully cleared the banking system and has been deposited to PNW Financial Properties’ account. Partial payments do not satisfy lease obligations unless accepted in writing by PNW Financial Properties.

Technology Fee and Processing Fees

Payments submitted through the online payment system may be subject to technology or processing fees imposed by the payment processor. Payors are responsible for reviewing any applicable disclosures and ensuring that the total payment submitted accounts for these fees so that the full rent amount is applied to the tenant’s account. Fees may be updated from time to time.

Responsibility for Timely Payment

Tenants remain solely responsible for ensuring that rent payments are received on time. PNW Financial Properties is not responsible for delays caused by third-party processors, banking institutions, verification procedures, internet connectivity issues, user input errors, or other technical factors outside its control. Submitting a payment close to a due date does not guarantee timely receipt.

ACH Electronic Payment Processing

Electronic payments submitted through the Website are processed through Stripe, an independent third-party provider. Payors may verify their bank account instantly through Stripe’s Financial Connections platform or manually enter their bank information, which may require additional verification steps before a payment is processed. Manual verification may take several business days to complete.

By submitting a payment through the online portal, the Payor authorizes PNW Financial Properties and its affiliates to debit the designated bank account for the payment amount. Payors are responsible for ensuring that payments are accurate and for covering any associated technology, processing, or service fees.

All ACH transactions are considered final once authorized. Any attempt to revoke, amend, or modify a transaction after authorization may not be accepted and, if processed, may result in additional fees or charges applied by PNW Financial Properties or the payment processor. Payors remain responsible for ensuring that the full rent amount is received in accordance with their lease agreement.

Direct Debit Authorization

When a Payor submits a payment through the ACH system, the Payor authorizes PNW Financial Properties and its payment processor to debit the designated bank account for the amount submitted. Payors who enter bank details manually may receive an email from Stripe confirming their authorization for direct debit payments.

Payors may amend or revoke this authorization by providing written notice to PNW Financial Properties. Payors remain responsible for all fees, charges, and ensuring rent is paid in accordance with their lease agreement.

Payment Reversals, Chargebacks, and NSF

Tenants and Payors remain fully responsible for rent owed, even if an ACH payment is returned, reversed, or rejected, including due to insufficient funds, bank errors, or disputes. PNW Financial Properties is not liable for any such occurrences, and lease obligations, including late fees and penalties, remain enforceable.

Third-Party Services

The Website relies on independent third-party services, including Stripe. PNW Financial Properties does not control third-party systems, processing times, or security measures. By using the Website or submitting payments, users agree to comply with any applicable terms imposed by these third parties. PNW Financial Properties and its affiliates are not liable for any errors, delays, or failures caused by third-party service providers.

Microdeposit Verification

If manual bank verification is selected, Stripe may send a small verification deposit to the Payor’s bank account. After the deposit appears in the account, the Payor will receive additional instructions from Stripe requesting confirmation of the transaction associated with that deposit. The Payor must follow the instructions provided to complete verification and authorize the payment.

Because this process involves multiple banking steps, manual verification and payment completion may take up to five (5) business days.

Accuracy of Payment Information

The Payor is responsible for ensuring that all payment information submitted through the payment portal is accurate and complete. This includes entering the correct payment amount, confirming that sufficient funds are available, and completing all verification steps as required. PNW Financial Properties is not responsible for incorrect payment amounts, incomplete transactions, or payments that fail due to inaccurate information provided by the Payor.

Payment Processing Time

Submission of an electronic payment does not guarantee immediate credit to a tenant’s account. Processing times may vary depending on bank settlement periods, payment verification procedures, and the payment processor’s internal schedule. Tenants are responsible for submitting payments early enough to ensure funds are received within the timeframe required by their lease agreement.

Website Information

The information on this Website is for general informational purposes. PNW Financial Properties makes reasonable efforts to ensure accuracy but does not guarantee completeness or accuracy. The Website may contain typographical errors, outdated information, or incomplete descriptions.

Limitation of Liability

To the fullest extent permitted by law, PNW Financial Properties, its affiliates, subsidiaries, owners, and representatives shall not be liable for damages arising from use of the Website, payment services, or related transactions. This includes, without limitation, technical failures, payment processing errors, banking issues, or inaccurate information submitted by users.

By using this Website, tenants and visitors acknowledge and accept responsibility for use of the Website and any payments submitted.

Indemnification

Users agree to indemnify and hold harmless PNW Financial Properties, its affiliates, subsidiaries, and service providers from any claims, damages, liabilities, or expenses arising from misuse of the Website, inaccurate payment submissions, violation of these Terms, or lease obligations.

Website Security

Users agree not to attempt unauthorized access to the Website, interfere with its functionality, or engage in fraudulent or malicious activity related to payments. Violations may result in termination of access and legal action.

Modifications to These Terms

PNW Financial Properties reserves the right to update, amend, or modify these Terms & Conditions at any time, in its sole discretion. Changes take effect immediately upon posting or publication on the Website. Continued use of the Website or submission of payments constitutes acceptance of the most current Terms, and users waive any claim arising from the timing or content of such modifications.

Additional Legal Clauses

Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions remain in full force and effect.

Entire Agreement: These Terms, together with any lease agreements and applicable payment terms, constitute the entire agreement regarding the use of the Website and payment services and supersede any prior agreements.

No Waiver: Failure to enforce any provision shall not constitute a waiver of the right to enforce it in the future.

Force Majeure: PNW Financial Properties is not liable for delays or failures caused by events beyond its reasonable control, including natural disasters, acts of God, labor disputes, technical failures, or governmental actions.

Assignment / Successors: PNW Financial Properties may assign its rights and obligations under these Terms to any affiliate, subsidiary, or successor. Users may not assign these Terms without prior written consent.

Governing Law

These Terms are governed by and interpreted in accordance with the laws of the state in which the rental property is located, without regard to conflict of law principles.

Use of the Website or submission of payments does not create an obligation for PNW Financial Properties to respond to general inquiries regarding these Terms.
